    JDE Industries LLC Terms & Conditions

     

    • Payment Terms
      Payment is due Net 30 days from invoice date unless otherwise stated in writing. Past-due balances accrue interest at 1.5% per month (18% annually) or the maximum permitted by law.
       
    • Collection Costs
      Customer agrees to pay all reasonable collection costs, including attorney’s fees and court costs, incurred in collecting overdue amounts.
       
    • Taxes
      Prices do not include sales, use, or other applicable taxes. Customer is responsible for all such taxes unless a valid exemption certificate is provided.
       
    • Inspection & Acceptance
      Customer must inspect goods within 10 business days of receipt. Failure to provide written notice of nonconformance within this period constitutes acceptance.
       
    • Limited Warranty
      JDE Industries warrants that goods will materially conform to agreed specifications at delivery.
      The sole remedy is repair or replacement, at JDE Industries’ option. All other warranties, express or implied, are disclaimed.
       
    • Limitation of Liability
      JDE Industries shall not be liable for indirect, incidental, or consequential damages, including lost profits.
      Total liability shall not exceed the amount paid for the goods or services referenced in this invoice.
       
    • Risk of Loss
      Risk of loss transfers to Customer upon shipment from JDE Industries’ facility unless otherwise agreed in writing.
       
    • Customer-Supplied Designs
      Customer is responsible for the accuracy and legality of all drawings, designs, and specifications provided.
       
    • Governing Law
      This transaction is governed by the laws of the State of Ohio.
       
    • Acceptance of Terms
      Payment of invoice or acceptance of goods constitutes agreement to these Terms & Conditions.


    •  Purchase Order Terms.
      Any Purchase Order (“PO”) issued by Customer is accepted solely for the purpose of identifying the goods and/or services to be provided and the agreed pricing. Any additional or conflicting terms contained in Customer’s PO, vendor portal, or other purchasing documents are expressly rejected and shall be of no force or effect, unless specifically agreed to in writing and signed by an authorized officer of JDE Industries.
